於本報告日期，根據新計劃而可予發行之
恒隆地產股份總數為三億三千五百五十萬
四千二百五十三股，佔恒隆地產已發行股
份百分之七點五。每名參與人在任何十二
個月內獲授的期權（包括已行使或未行使）
予以行使時所發行及將發行之股份總數將
不超過恒隆地產已發行股份之百分之一。
董事
於本報告日之本公司董事名單載於第二百
一十六頁內，而彼等之簡歷載於第一百二
十二至一百二十六頁內。彼等之薪酬詳情
載於財務報表附註第六項內。
高伯遒先生由二零一二年十二月十二日起
辭任本公司及恒隆地產執行董事。
遵照本公司組織章程細則第一百零三及一
百零四條規定，鄭漢鈞博士、葉錫安先生
及何孝昌先生於應屆股東週年大會輪值告
退，惟願參選連任。
董事之服務合約
擬於將舉行之股東週年大會上參選連任之
董事概無與本公司或其任何附屬公司訂立
於一年內倘終止須作出賠償（法定賠償除
外）之服務合約。
董事之合約權益
於年內任何時間或年結日，概無任何本公
司董事在本公司或其任何附屬公司之任何
與本集團業務有關的重要合約中直接或間
接擁有重大權益。
As at the date of this report, the total number of shares of HLPL
available for issue under the New Scheme is 335,504,253 shares,
representing 7.5% of the issued share capital of HLPL. The total
number of shares issued and to be issued upon exercise of options
(including both exercised and outstanding) granted to each participant
shall not exceed in any 12-month period 1% of shares of HLPL in issue.
DIRECTORS
The directors of the Company as at the date of this report are listed
on page 216 and their brief biographical details are set out on pages
122 to 126. Details of their remuneration are set out in Note 6 on the
Financial Statements.
Mr William P.Y. Ko resigned as executive director of the Company and
HLPL with effect from December 12, 2012.
In accordance with articles 103 and 104 of the Company’s articles of
association, Dr H.K. Cheng, Mr Simon S.O. Ip and Mr H.C. Ho retire
from the board by rotation at the forthcoming annual general meeting
and, being eligible, offer themselves for re-election.
DIRECTORS’ SERVICE CONTRACTS
No director proposed for re-election at the forthcoming annual general
meeting has a service contract with the Company, or any of its
subsidiaries which is not determinable within one year without payment
of compensation (other than statutory compensation).
DIRECTORS’ INTERESTS IN CONTRACTS
No contract of significance in relation to the Group’s business to which
the Company or any of its subsidiaries was a party, and in which a
director of the Company was materially interested, whether directly or
indirectly, subsisted at any time during the year or at the end of the year.
